These Terms & Conditions govern your use of www.brynshawfinance.com and the basis on which Brynshaw Finance Limited provides commercial finance brokerage, introduction and related business support services. By using our website or asking us to assist with an enquiry, you agree to these terms to the extent they apply to you.
Brynshaw Finance Limited is registered in England and Wales under company number 16221323. Our registered office is 8 Welbourn Close, Sleaford, NG34 7WT. Our ICO registration number is ZC083447.
Brynshaw Finance Limited is not authorised or regulated by the Financial Conduct Authority (FCA) and is not an Appointed Representative of an FCA-authorised firm.
We provide commercial brokerage and introduction services only where the activity does not require Brynshaw Finance to hold FCA authorisation. We do not hold ourselves out as providing regulated consumer credit broking, regulated investment advice, regulated mortgage advice, payment services or any other regulated activity unless we have the required authorisation or a lawful exemption at the relevant time.
Some client types, products or transactions may fall within the scope of financial-services regulation. Where we consider that an enquiry may involve a regulated activity outside our permissions, we may decline to act, restrict our involvement or refer you to an appropriately authorised provider or intermediary.
Our services are intended primarily for businesses and persons acting in a business capacity. If you make an enquiry on behalf of a company or other organisation, you confirm that you have authority to provide information and instruct us on its behalf.
You must tell us if the proposed finance or transaction is for personal, family or household purposes, or if the applicant is a sole trader, small partnership or other business structure that may affect the regulatory status of the activity. We may request further information before deciding whether we can assist.
We act as a broker or introducer. We may review the information you provide, discuss your requirements and introduce you to one or more lenders, finance providers, foreign exchange providers, payment providers or specialist partners.
Unless expressly agreed otherwise in writing, Brynshaw Finance is not the lender, creditor, foreign exchange counterparty, payment institution or account provider. The relevant third party is responsible for its own product, underwriting, credit decision, pricing, contractual terms, execution, regulatory obligations and ongoing service.
An introduction, indication, quotation or expression of interest does not guarantee that finance, an account, a rate or any other service will be available. All applications and transactions are subject to the relevant provider's eligibility criteria, due diligence, credit assessment, valuation, security requirements, compliance checks, pricing and final approval.
A provider may change or withdraw an offer before completion in accordance with its own terms. Brynshaw Finance is not responsible for a provider declining an application, changing its requirements or withdrawing an offer, except to the extent that loss is caused directly by our own breach of these terms or negligence and cannot lawfully be excluded.
You are responsible for ensuring that information and documents supplied to us are accurate, complete and not misleading. You must promptly tell us if material information changes.
We may rely on information supplied by you, your representatives, public records and third parties. We are not required to independently verify every statement, although we or a provider may carry out identity, credit, fraud, sanctions, anti-money laundering or other checks.
A lender or other provider may carry out soft or hard credit searches and other due-diligence checks. Where relevant, the provider should explain the nature and effect of those checks. Brynshaw Finance will not represent that a search will be soft or will not affect a credit file unless we have a reliable basis for doing so.
Where we assist with foreign exchange or international payment requirements, our role may be limited to introducing you to an independent FX or payment provider. The provider will be responsible for onboarding, safeguarding or holding client money where applicable, execution of trades and payments, exchange rates, settlement, compliance checks and its own contractual and regulatory obligations.
Unless specifically agreed in writing and lawfully permitted, Brynshaw Finance does not itself hold client money or execute regulated payment services.
Brynshaw Finance may receive commission, referral fees or other remuneration from a lender, finance provider, FX provider, payment provider or other partner following an introduction or completed transaction. The amount or basis of remuneration may vary between providers and products.
Where we charge you a fee directly, the amount, timing and basis of that fee will be agreed with you before it becomes payable. Where applicable and reasonably requested, we will explain the nature of our remuneration or provide further information about how we are paid, subject to legal and contractual restrictions.
Information on our website is general information only. Rates, repayment figures, examples, case studies, eligibility statements and product descriptions are illustrative unless expressly stated otherwise. They do not constitute an offer, guarantee or personal recommendation.
Foreign exchange rates can move rapidly and any indicative rate may change before a transaction is booked. Finance pricing and terms can also change before completion.
Unless expressly agreed in writing, Brynshaw Finance does not provide legal, tax, accounting or investment advice. You should obtain independent professional advice where a decision depends on those matters.
We may introduce you to third parties or provide links to third-party websites. We select partners on a commercial basis but do not control their services, systems or decisions. You should review the provider's own terms, privacy notice, regulatory status and product documentation before entering into a contract.
We aim to keep our website accurate and available but do not guarantee uninterrupted access, error-free operation or that all content will always be current. We may suspend or change the website without notice for maintenance, security or business reasons.
You must not misuse the website, attempt unauthorised access, introduce malicious code, interfere with security or use the website for unlawful or fraudulent purposes.
The website, branding, text, graphics and other content owned by Brynshaw Finance are protected by intellectual-property rights. You may view and print reasonable extracts for your own internal business use. You must not reproduce, republish, sell, scrape or commercially exploit our content without prior written permission.
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation or for death or personal injury caused by negligence.
Subject to that, Brynshaw Finance will not be liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, anticipated savings, goodwill or data arising from use of the website or from a third-party provider's decision, act or omission.
Where Brynshaw Finance is liable for loss arising directly from our breach of these terms or negligence, our liability will be limited to losses that were reasonably foreseeable and directly caused by that breach. Nothing in this clause affects any rights that cannot lawfully be excluded or restricted.
We handle personal information in accordance with our Privacy Policy and Cookie Policy. Information may be shared with relevant providers and advisers where necessary to progress an enquiry, comply with law, prevent fraud or operate our business.
If you are dissatisfied with Brynshaw Finance, please contact us using the details below or follow our Complaints Procedure. Brynshaw Finance is not FCA authorised and does not represent that complaints about us are eligible for referral to the Financial Ombudsman Service. If a complaint concerns a third-party regulated provider, separate complaint or escalation rights may apply through that provider.
Either you or Brynshaw Finance may end an engagement at any time unless a separate written agreement states otherwise. We may stop acting where information is incomplete or misleading, a conflict arises, the activity falls outside our permitted scope, compliance concerns arise, or continuing would expose us or another party to legal, regulatory, financial-crime or reputational risk.
We may update these terms from time to time. The version published on our website at the time of your use or engagement will apply unless a separate written agreement states otherwise.
These terms and any non-contractual obligations arising from them are governed by the law of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
